Aero Mod Service is the only vendor duly authorized by the U.S. Marshals Service to advertise and sell federally forfeited aircraft listed in this advertisement. All aircraft sold on an "as is, where is" basis. Aircraft will be sold with no warranty or guarantee whatsoever. Aircraft are to be purchased exactly as they appear. They will be sold based on their appearance only. "As is" is a disclaimer of warranties or representations. "Where is" denotes that the buyer takes the aircraft as found and must remove it from the point of sale. Aircraft information is subject to change without notice prior to sale date. The U.S. Marshals Service also reserves the right to pull any aircraft from the sale at any time prior to the sale date without notice. Bids must be received by Aero Mod Service, P.O. Box 60314, Midland International Airport, Midland, Texas 79711, not later than 11:00 AM Central Standard Time, DECEMBER 19, 2012. Bid opening will commence shortly thereafter. Bidders are invited to attend. Our FED-X and UPS address is: 2506 N. Pliska Drive, Midland, Texas 79706. The BID PREPARATION INSTRUCTIONS - TERMS AND CONDITIONS on the reverse side and/or attached are hereby incorporated and made a part of this BID INVITATION. Potential Bidders are instructed to carefully and thoroughly read the BID PREPARATION INSTRUCTIONS - TERMS AND CONDITIONS, before submitting any bids. Failure to comply with either the BID PREPARATION INSTRUCTIONS and/or TERMS AND CONDITIONS will be grounds for default and/or bid rejection. The aircraft will be released to the highest bidder upon receipt of approved funds. Cashier?s checks will be verified with the issuing bank prior to releasing the aircraft. The United States Government reserves the right to reject any and all bids. Storage becomes the responsibility of the buyer 10 days after bid opening. Tied bidders will be requested to submit a ?Best & Final Offer? in the event of a tie for the high bid. Employees of the U.S. Department of Justice, Aero Mod Service, and/or sub-contractors, including their relatives, are ineligible to bid. Prospective bidders, interested in purchasing this aircraft, particularly the successful bidder, may be subject to a background investigation to ensure compliance with the Comprehensive Crime Control Act of 1984. Specifically, Title 18 U.S.C. Section 1963(g) and Title 21 U.S.C. Section 853(h), which prohibits the United States Government from reverting any criminally, forfeited property to the defendant or any person acting in concert with or on their behalf. Any individual or purchasing agent found to be in violation of these sections is subject to a fine of not more than $10,000 or imprisonment of not more than five (5) years, or both. I hereby offer to purchase this aircraft at the price listed below. It is understood and agreed that the sale of United States Government property to me is subject to all of the provisions of this invitation for bids, including TERMS AND CONDITIONS. I understand that my bid constitutes an offer and that the receipt of a Notice of Award from Aero Mod Service and/or the United States Government results in a legally binding contract. I certify that I am not acting on behalf of a U.S. Department of Justice employee, Aero Mod Service sub-contractor, or any relative of the above, in this transaction. I further certify that I have been given a full opportunity to inspect this aircraft and hereby agree to rely solely on my own expertise to determine its condition and value rather than the description contained in this bid invitation or as announced by Aero Mod Service. I understand and accept that Aero Mod Service and the U.S. Marshals Service make no representation or warranty as to the accuracy of any descriptions, including log books; that the aircraft will be sold with no warranty or guarantee whatsoever. Aircraft are to be purchased exactly as they appear. They will be sold based on their appearance only. "As is" is a disclaimer of warranties or representations. "Where is" denotes that the buyer takes the aircraft as found and must remove it from the point of sale; that Aero Mod Service and the U.S. Marshals Service bear no responsibility for any faults or defects in the aircraft acquired. I agree that acceptance of the aircraft constitutes a complete release by me of any and all claims, known and unknown, and any anticipated and unanticipated damages, against the U.S. Government, the U.S. Marshals Service, Aero Mod Service, and their officers, agents or employees, arising from the sale of this aircraft. Bid Preparation Instructions 1. SIGNATURE Each bid MUST give the full business address of the bidder and MUST be signed by an Authorized Representative. Bids signed by an Agent must be accompanied by evidence of authority. 2. CORRECTIONS Bids containing erasures or changes MUST contain sufficient explanation to make the bid clean and unambiguous. Ambiguous bids will be rejected or interpreted at the discretion of the United States Government. The decision to reject a bid, in whole or in part, on the interpretation of a bid by the United States Government shall be conclusive. 3. SUBMISSION OF BIDS Envelopes containing bids MUST be sealed with the name and complete address of the bidder. The sealed bids should be mailed to Aero Mod Service, P. O. Box 60314, or for Fed-X or UPS to 2506 N. Pliska Midland International Airport, Midland, TX 79706). Envelopes should be marked "SEALED BID" in the lower left-hand corner of the envelope along with the aircraft "N" number. TERMS AND CONDITIONS 1. INSPECTION: Bidders are invited, urged and cautioned to inspect the property to be sold. Property will be available for inspection at the place and time specified in the bid invitation. Aero Mod Service will not furnish any labor for the purpose of prospective bidder Inspection. In no case will failure to inspect constitute grounds for a claim or withdraw of bid. 2. CONDITION AND LOCATION OF PROPERTY: All property listed in the invitation is offered for sale "AS IS" and "WHERE IS". The buyer shall assume all risks as to conditions, quality, variety, and the like. The description is based on the best available information, but the seller and Aero Mod Service makes no warranty, expressed or implied, as to the aircraft engine, propeller, or component times, quantity, kind, character, quality, weight, size or description of any of the property or its fitness for any use or purpose or merchantability. No claim for adjustment of price or rescission based on failure of the property to correspond with the standard expected will be considered. This is not a sale by sample. 3. BIDS: The United States Government reserves the right to reject any or all bids and to waive any technical defects in bids. 4. DEPOSITS AND PAYMENTS: Both the Bid Deposit and Final Payment must be in the form of a cashiers check, issued by a U.S. Bank in U.S. Currency, and made payable to Aero Mod Service. The cashiers check must have the issuing bank's name, address, and telephone number clearly visible. CASH WILL NOT BE ACCEPTED. The specified Bid Deposit must accompany EACH bid submitted. The successful bidder's deposit is non refundable and will be applied toward the purchase price of the aircraft. Unsuccessful bidder's deposits will be available for pick up from 9 a.m. to 4 p.m. the day following the bid opening, or will be mailed out within 72 hours via Certified/Return Receipt Mail ONLY. Final payment MUST be made before the aircraft will be released, and upon verification of cashiers? checks from the issuing bank. 5. DEFAULT: If, after the award, the buyer fails to make full payment within 10 days after the bid opening date, the buyer shall lose all rights to title and interest plus deposit which might otherwise have accrued in and to the property as to which a default has occurred. The buyer agrees that in the event he fails to pay for the property within the prescribed time, the seller, at its election and upon notice of default, shall be entitled to accept back-up contracts from second highest bidder or sell at a later date. 6. TITLE: Aero Mod Service makes no representations or commitments, other than specifically conveyed by the United States Government, as to the condition of the title, form of title to be conveyed, and the payments of any liens, encumbrances, judgments or debts associated with the aircraft. A Bill of Sale will be issued by the United States Marshals Service. 7. DELIVERY AND REMOVAL OF PROPERTY: a. Property sold hereunder will be released to buyer only after payment in full has been made. b. Buyer shall make arrangements for, and bear the cost of, packing, handling, loading and transporting the property from the seller's premises. c. Purchasers will be required to prepare FAA form 8050 1 and submit to FAA upon delivery of aircraft. FAA registration fee of $5.00 will be at buyer's expense. Forms will be provided at sale site. 8. LIMITATION OF LIABILITY: In any case where liability of seller to the buyer has been established, seller's liability shall not, in any event, exceed refund of such portion of the purchase price as seller may receive. 9. SECURITY AND SAFETY: While on seller's premises, all persons shall comply with seller's security and safety rules. 10. INDEMNITY: Any person, firm or corporation that procures the entry of any person upon seller's premises and any person who, acting in his own behalf, enters upon seller's premises in connection with the sale shall indemnity seller and his agents, officers, and employees from and against any all loss, detriments, costs, damages, or expenses which they may sustain, suffer, be put to, or be in any way subject to, on account of any claims for injury to or death of persons or damage to or loss of property arising out of or resulting from the presence of such person on seller's premises. 11. ORAL MODIFICATIONS: No statement by any Representative of the United States Government or Aero Mod Service purporting in any way to modify the invitation of these Terms and Conditions shall confer any right upon bidder or buyer. Aero Mod Service, Inc. is the only vendor duly authorized by the U.S. Marshals Service to advertise and sell federally forfeited aircraft listed in this Bid Invitation.
